PAGE 东北财经大学自学考试本科毕业论文 股权结构与公司治理问题研究——以苏宁为例 作 者 专 业 准考证号 指导教师 答辩日期 　 　　　　 成 绩 2 内 容 提 要 随着我国经济的飞速的发展，越来越多的企业涌现了出来，其中不乏有规模特别庞大的企业，但是所有的企业在发展的过程中都会面临着如股权结构与公司治理等这样基础的问题，这一类的问题与企业的规模大小没有关系并且随着企业的增大发生的也就更加的普遍一些。股权结构主要是对企业的一个整体的所有者权益进行分析，是企业经营当中的一个重要的组成部分，股权部分的问题深刻的反应了企业的利益分配。公司治理则是一项企业运营的基础工作，要想企业能够进行持续的发展公司的治理是一项必须进行的工作，公司治理的保证企业健康发展的原动力，将企业在发展过程中产生的弊端进行清理，维持企业生产经营的一个积极的状态。 本篇论文引用了苏宁易购这一个真实的上市公司作为研究的一个案例，在研究的过程中通过对苏宁易购在股权结构以及公司治理的进行分析，得出所存在的真实的问题，并以此为基础提供了相应的对策。 关键词： 股权结构；公司治理； 苏宁易购 ABSTRACT With the rapid development of Chinas economy, more and more enterprises emerge, there are no lack of large scale enterprises, but all enterprises in the process of development are faced with such problems as equity structure and corporate governance, such problems are not related to the size of the enterprise. It is also more common with the increase of enterprises. The ownership structure is mainly an analysis of the owners rights and interests of a whole enterprise. It is an important part of the enterprises management. The problem of the equity part deeply reflects the distribution of the interests of the enterprise. Corporate governance is the basic work of the enterprise operation. It is a necessary work to carry out the sustainable development of the company. The corporate governance ensures the motive force of the healthy development of the enterprise. It will clean up the malpractice of the enterprise in the process of development and maintain a positive form of the enterprises production and management. State. This paper quotes a real listed company of as a case of research. In the process of research, it analyzes the real problems of in the ownership structure and corporate governance, and provides the corresponding countermeasures.
