摘要

进入新世纪，全球经济一体化程度不断加深，引发了世界范围内产业结构的新一周期的调整和升级。在市场经济条件下，企业要想在复杂多变的外部和内部环境中谋求生存甚至发展壮大，仅仅靠自身的资本积累，是不现实的。越来越多的企业选择收购兼并作为长期可持续发展的主要战略手段。近百年来，全球先后经历了六次大规模的收购兼并浪潮。

我国钢铁总产量已经多年位居世界第一位，但是，我国这些钢铁企业总体装备和技术水平不高，产能过剩，产品单一问题严重，大量的低水平重复建设；而且我国钢铁产业的集中度不高，在国际原材料市场上在价格谈判中出于劣势地位；在经营中的盈利水平还与世界一流企业有很大的差距。这种条件下，钢铁企业之间的兼并重组显得尤为重要。

本文我国钢铁企业兼并重组的大背景下，对国内产能第一企业河北钢铁集团并购整合进行了深入的分析，重点剖析了河北钢铁在并购过程中以及并购后的整合中的运作思路、规模效益、经验教训。最后提出了国有企业并购整合中的政策建议，以求政府能更好的引导国有企业做大做强。

Inthe21stcentury,thedeepeningglobaleconomicintegrationhascausedtheadjustmentandupgradingofindustrialstructure.Inamarketeconomy,itisnotrealisticthatenterpriseswanttosurviveandgrowonlybytheirowncapitalaccumulationinthecomplicatedexternalandinternalenvironment.Moreandmoreenterpriseschoosemergersandacquisitionsasthemainstrategyofsustainabledevelopment.Overthepastcentury,theworldhasexperiencedsixlarge-scalewavesofmergerandacquisition.
