摘要 大数据时代快速发展下，推动我国经济蓬勃发展的同时也给中国互联网企业并购增加了不确定的因素。为了控制企业并购过程中发生的财务风险，本文对近年来互联网企业并购进行研究。全文以美团收购摩拜事件为例，首先介绍了企业并购相关概念，搜集有关并购活动涉及的财务风险防控的相关资料，对并购财务风险和控制的文献内容进行归纳总结，对所涉及的相关概念进行阐述并介绍相关理论基础。然后对美团收购摩拜过程中的支付风险、筹资风险和经营风险分别进行探究分析，得出美团收购摩拜存在在融资结构风险、融资渠道选择风险、人力资源整合风险、经营整合风险等问题。最后，文章为应对并购中存在的财务风险提出了合理选择目标公司、优化公司融资结构、拓宽公司融资渠道、完善公司治理结构、制定合适的经营战略等应对策略。本文通过描写美团收购摩拜事件，为今后互联网企业完成并购行为提供参考，进而推动该行业健康快速发展。 关键词：并购、财务风险、风险控制；摩拜 Abstract With the rapid development of the era of big data, the rapid development of China's economy also adds uncertain factors to the merger and acquisition of Chinese Internet enterprises.
