PAGE PAGE 15 公司章程的法律性质研究 摘 要 公司章程是公司的内部契约，是公司股东或者设立人就公司的重大事项考量，并且在股东或者设立人之间反复协商，为了公司的最大利益而订立的基本准则，是规范公司的性质、宗旨、经营规范、组织机构、内部权利义务，以及调整公司内部组织关系和经营行为的自治准则。 本文对于公司章程的法律性质研究，得出坚持新折中说的观点，从法理上摒弃了契约说、章程说、自治说等的缺陷，取其精华、去其糟粕，使得各学说之间得以融合，将契约关系、合同关系等引入到大陆法系。从实践的意义上为实践中，股东之诉、章程生效等提供了理论基础。 关键词：公司；公司法；公司章程；新折中说 A study on the legal nature of the articles of association Abstract The articles of association are the internal contracts of the company, the basic principles that the shareholders or the founders of the company consider the important matters of the company, and negotiate repeatedly among the shareholders or the founders for the best interests of the company, is The Standard Company's nature, the purpose, the management standard, the organization organization, the internal rights and obligations, as well as adjusts the company internal organization relations and the management behavior the self-government rule.
